Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of spantly (the “Service”), including our website, dashboard, APIs, and related features. By creating an account, starting a trial, or using spantly, you agree to these Terms.

If you use spantly on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

2. The Service

spantly helps you upload short-form media once, customize content per platform, and publish or schedule posts to social accounts you connect. Features may include a content calendar, media library, workspace settings, billing, and (where available) AI assist tools.

We may change, improve, or discontinue parts of the Service over time. When a change materially reduces paid functionality, we will give reasonable notice where practical.

3. Accounts and eligibility

You must provide accurate account information and keep your login credentials secure. You are responsible for activity under your account.

You must be at least 16 years old (or the age of digital consent in your country, if higher) to use spantly. You may not create an account if we have previously suspended or terminated your access for Terms violations.

4. Connected social accounts

You may connect social accounts you own or are authorized to manage. You must have the legal right to post to every account you connect.

Bluesky connects with an app password you create. Other platforms use official OAuth. We do not ask for your TikTok, Instagram, YouTube, or similar main account passwords.

spantly publishes or schedules only when you instruct us to (including scheduled jobs you configure). A failed publish on one platform does not automatically undo a successful publish on another.

Platform APIs, rate limits, and policies can change. Connect and publish status for each network is shown in Accounts.

5. Your content

You retain ownership of the media, captions, hashtags, and other materials you upload or create in spantly (“Your Content”). You grant us a limited license to host, process, transmit, and display Your Content solely to operate the Service for you (for example, storing uploads and sending posts to platforms you select).

You are solely responsible for Your Content and for complying with each destination platform’s terms, community guidelines, copyright rules, and applicable law. Do not upload content you do not have rights to use.

6. Acceptable use

You agree not to use spantly to:

  • Spam, deceive, harass, or violate any law or platform rule
  • Automate fake engagement (likes, follows, comments, views)
  • Scrape, reverse engineer, or abuse the Service or others’ data
  • Circumvent plan limits, security controls, or access restrictions
  • Upload malware or interfere with the Service’s integrity
  • Misrepresent that spantly is affiliated with any social platform

7. Plans, trials, and billing

Paid plans on yearly billing may include a 7-day free trial where offered. Monthly plans do not include a free trial. Trial terms shown at signup or checkout apply. Unless stated otherwise, a credit card is not required to start a free trial.

Subscriptions are billed in advance via our payment processor (Stripe). Prices and plan limits are described on our Pricing page and may change for future billing periods with notice.

You may cancel anytime; cancellation takes effect at the end of the current billing period. Yearly paid plans include a 7-day money-back guarantee after the first charge — contact support within that window. Monthly plans do not include a money-back guarantee.

Taxes may apply based on your location. Failed payments may result in suspension until billing is resolved.

8. spantly intellectual property

The Service, including our branding, UI, software, and documentation, is owned by spantly and its licensors. These Terms do not transfer ownership of our IP to you.

You may not copy, resell, or frame the Service except as expressly allowed in writing.

9. Third-party platforms

spantly is an independent tool. We are not affiliated with, endorsed by, or sponsored by TikTok, Meta, Google, LinkedIn, X, Pinterest, Bluesky, or any other social network.

Your relationship with each platform is governed by that platform’s own terms. We are not responsible for platform outages, API changes, account bans, or content decisions made by those platforms.

10. Privacy

How we collect and use personal data is described in our Privacy Policy. By using spantly, you also acknowledge that policy.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted availability, that every platform publish will succeed, or that analytics (where shown) are complete. We do not invent engagement metrics; Beta analytics are limited to measurable operational data.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, spantly AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO spantly IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR, IF YOU USE ONLY A FREE PLAN, ONE HUNDRED U.S. DOLLARS).

Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent allowed.

13. Suspension and termination

You may stop using spantly and delete your account from Settings at any time. We may suspend or terminate access if you breach these Terms, create risk for the Service or other users, or if required by law.

After termination, we may delete Your Content according to our retention practices, except where we must retain records for legal or billing reasons.

14. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top will change when we do. Continued use after changes become effective constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and cancel your subscription.

15. General

These Terms are the entire agreement between you and spantly regarding the Service and supersede prior agreements on the same subject. If a provision is unenforceable, the rest remains in effect.

Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

These Terms are governed by applicable law. Specific governing law and venue will be published when the operating entity for spantly is designated.
